1.4 Term and Termination: This agreement remains in effect as long as the Center continues to be listed on Maintain and chooses to use the Maintain platform.
2. Center Calendar Integration Agreement
2.1 Centers may integrate their calendars with Maintain’s platform to facilitate appointment booking.
2.2 Maintain will handle all access credentials securely and ensure data confidentiality.
2.3 Integration is optional and can be discontinued at any time.
3. Appointment Booking Agreement
3.1 Centers agree to make their appointment availability accessible through Maintain.
3.2 Centers must establish and communicate their cancellation and refund policies.
3.3 Maintain acts as a facilitator and holds no liability for service-related claims.
3.4 Disputes will first be resolved through negotiations and, if necessary, arbitration.
4. Data Sharing Agreement
4.1 Maintain and Centers may share data to optimize platform functionality.
4.2 Maintain will comply with all data protection laws and ensure data confidentiality.
5. Indemnity Agreement
5.1 Centers agree to indemnify Maintain against claims related to their services.
5.2 Maintain limits its liability to the extent permitted by law.
5.3 Any disputes will be resolved through arbitration.
6. Reviews Publishing Agreement
6.1 Maintain will publish customer reviews fairly and transparently.
6.2 Maintain reserves the right to moderate or remove reviews violating platform policies.
6.3 Centers may request review investigations if they believe a review is unfair.
7. Social Media Promotion Agreement
7.1 Maintain and Centers may use each other’s branding and social content for promotional purposes.
7.2 All promotional content must comply with applicable laws and regulations.
8. Provider Coverage Agreement
8.1 Centers confirm that all listed providers and staff meet and maintain all required licenses, certifications, and qualifications necessary for their respective roles. It is the Center’s sole responsibility to ensure ongoing compliance with all local, state, and federal regulations, including but not limited to licensing, health and safety standards, operational compliance, and professional conduct requirements.
8.2 Centers agree to indemnify Maintain against provider-related claims, including but not limited to non-compliance with licensing requirements, failure to adhere to health and safety standards, and violations of applicable laws and regulations.
By signing up on the Maintain platform and checking the agreement box, the Center confirms its acceptance of these terms and conditions. No further signatures or manual entry of business details are required.
